These terms and conditions (and any documents referred to in them) tell you the terms and conditions on which you may make use of the website under the domain name www.altruworld.com (the Website).

Please read these terms and conditions carefully before using the Website. By using the Website you confirm your acceptance of these terms and conditions regardless of whether or not you choose to register with us. If you do not accept these terms, you should exit the Website immediately.

2 TERMS OF USE

2.1 The Website is offered as a service to you. To access the Website and make use of this service, you must accept these terms and conditions and register your details with us to become a member. This will form the binding legal contract between you and us for use of the Website.
2.2 You can accept these terms and conditions by clicking on the button marked "submit" at the end of the new registration form.
2.3 You may register to become a member in accordance with the Membership conditions at Clause 8 below.
2.4 In the event that you breach these terms and conditions, or we have reasonable grounds to believe that you have breach these terms and conditions, your permission to access and use the Website terminates immediately and you must immediately destroy any downloaded or printed extracts from the Website.
2.5 You should print off a copy of these terms and conditions for future reference.

3 INTELLECTUAL PROPERTY RIGHTS

3.1 The Website is owned by AltruWorld Limited and any and all intellectual property rights in the Website including, but not limited to, software, copyright, data and database rights and any logos or trademarks (whether registered or unregistered) are owned by and remain the property of AltruWorld Limited (or its third party licensors as applicable) at all times.
3.2 You are permitted to print off one copy and may download extracts of the content on the Website for your own personal use, and may draw the attention of others within your organisation to material posted on the Website, provided that:
3.2.1 our status (and that of any identified contributors) as authors of material on the Website is always acknowledged;
3.2.2 no documents or related graphics on the Website are modified in any way, this includes the removal of any copyright or other proprietary notices contained in the Website;
3.2.3 no graphics on the Website are used separately from the corresponding text; and
3.2.4 any information on the Website which is marked as being confidential is treated as such and is not disclosed to any third party.

4 USING THE WEBSITE

4.1 You agree that you will not use any part of the Website to:
4.1.1 commit or encourage any criminal offence;
4.1.2 send or receive any material which is offensive, or which may be abusive, indecent, defamatory, obscene or menacing, or in breach of confidence, copyright, privacy or any other rights;
4.1.3 collect or store personal data about other users other than as permitted under these terms and conditions;
4.1.4 insert or knowingly or recklessly transmit or distribute a virus, worm, Trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance or impair the functionality of, the Website;
4.1.5 upload, post, email or otherwise transmit or post links to any content that facilitates hacking;
4.1.6 hack into any aspect of the Website;
4.1.7 upload, post, email or otherwise transmit links to any content that infringes the rights of any third party;
4.1.8 circumvent, or attempt to seek to circumvent, any of the security safeguards of the Website;
4.1.9 cause annoyance to other people accessing the Website;
4.1.10 send any unsolicited advertising or other promotional material, commonly referred to as "spam", "junk mail", "chain letter", "pyramid schemes" or any other form of solicitation by email or by any other electronic means;
4.1.11 send email or any other type of electronic message with the intention or result of affecting the performance or functionality of any computer facilities; or
4.1.12 permit any third party to do any of the above.
4.2 You are solely responsible for any content that you create, transmit or display while using the Website.
4.3 In the event that we believe any material falls within any or all of the categories at Clause 4.1, we shall be entitled to remove it without notice from the Website and/or terminate your use of the Website.
4.4 We have the right to disclose your identity to any third party who is claiming that any content uploaded, posted or transmitted via the Website constitutes a violation of their intellectual property rights, confidential information or of their right to privacy.
4.5 You are prohibited from the following actions, as they are not in keeping with our values:
4.5.1 self endorsement, providing feedback on yourself and/or inviting yourself to join the Website; or
4.5.2 partaking in reciprocal endorsements and/or feedback agreements with other members;
4.5.3 providing misleading feedback with the intention of unfairly lowering a member's profile, either directly or through other members; and
4.5.4 users of the Website will not by any act or omission bring us into disrepute.
4.6 Pursuant to Clause 2.4, we may terminate your permission to access and use the Website immediately if you are found to be undertaking and/or involved in the activities set out at Clause 4.5. We reserve the right to notify all customers and suppliers (past or present) of the removal of offending members from the Website.

5 FEES

5.1 Joining the Website as a member is free of charge.
5.2 We charge fees for submitting "Detailed Enquiry Requests", for responding to such requests on the Website and for other services from time to time as detailed on the Website.
5.3 When you carry out an action which has a fee, you will have an opportunity to review and accept the fees that you will incur by carrying out such an action on the Website.
5.4 Unless otherwise stated, all fees are payable in pounds sterling (£).
5.5 You are responsible for paying all fees and applicable taxes (including value added tax if applicable) associated with using the Website.
5.6 When you join as a member, an account will be created for you, to which you may make payments in order to receive credits which enable you to pay any fees chargeable for services on the Website from time to time.
5.7 You may be entitled to receive free credit on the Website from time to time, which will be added to your account on the Website for you to spend on submitting "Detailed Enquiry Requests", submitting responses to enquiries and for other services on the Website for which fees are chargeable from time to time.
5.8 Any free credit credited to your account on the Website will only be valid for one (1) month. It cannot be transferred to other members and cannot be redeemed for its cash equivalent.
5.9 If your membership of the Website is terminated for any reason, your account will be closed and any paid credit in your account will be reimbursed to you.
5.10 We are not party to the transactions between customers and suppliers and are not responsible for any payments made between customers and suppliers.

6 DISCLAIMER

6.1 The aim of this Website is to facilitate a network between customers and suppliers only. Therefore we cannot be held responsible for any communications and/or transactions between parties using the Website. On this basis, we cannot be responsible for the persons, companies and other organisations whose goods and/or services which may be displayed or referred to in this Website, nor for the availability, suitability or prices of such goods and/or services, nor for the legal entitlement, competences, professional qualifications and/or trade certifications of such parties.
6.2 Our grading system for suppliers is not a statement of our opinion nor a representation made by us. The grading system is based on a numeric formula based on feedback in numeric form provided by users in respect of suppliers.
6.3 The content made available on the Website is intended for general information purposes only and is provided on an "as is" basis. It does not constitute advice or the making of any recommendation and is not intended as a substitute for professional advice or judgment. The use of information obtained from the Website is at your sole discretion and risk. We exclude to the fullest extent permitted by law any and all liability for any direct, indirect and/or consequential loss or damage arising as a result of the access to and use of the Website, reliance on any content contained on the Website, or as a result of any relationship or transaction between you and any other user of the Website.
6.4 We aim to ensure the Website is updated regularly. However, we are under no obligation to update the material contained on the Website and cannot guarantee that content will always be completely up to date. 7.3 * Hypertext links are a means by which visitors can swap from one website to another or from one page to another within the same site. ** A deep link is like a hypertext link, but takes the visitor into the website bypassing the homepage on the third party website.

8 MEMBERSHIP CONDITIONS

8.1 You may become a member in accordance with these Membership Conditions. You agree that any information you put on the Website will always be true, accurate and up-to date.
8.2 In order to become a member you will have to register on the Website to obtain log-in details which will enable you to use the Website.
8.3 As a member you must treat your log-in details as confidential and must not disclose them to a third party. You must inform us immediately of any breach of this obligation.
8.4 We have the right to disable your membership at any time, if in our opinion you have failed to comply with these terms.

9 LIABILITY

9.1 Nothing in these terms and conditions shall limit or exclude our liability for death or personal injury arising as a result of our negligence, or for fraud or fraudulent misrepresentation nor any other liability that cannot be restricted by law.
9.2 Subject to Clause 9.1, we shall not be liable in contract, tort (including negligence), statutory duty or otherwise howsoever for any claim, damage, loss or costs (whether direct or indirect) incurred by you in connection with your use of the Website, including, without limitation any liability for:
9.2.1 loss of profits;
9.2.2 loss of business and/or business interruption;

10.2 We may vary these terms and conditions from time to time. If we make substantial changes, we will notify you by e-mail / by posting a prominent announcement on the Website.
10.3 Any personal details we collect from you will only be used by us in accordance with our Privacy Policy.
10.4 These terms shall be governed by and construed in accordance with English law and shall be subject to the exclusive jurisdiction of the English courts.
10.5 Our Website is controlled and operated by AltruWorld Limited from the United Kingdom. We make no representations that materials on the Website are appropriate or available for use in other locations. Those who choose to access the Website from other locations do so at their own risk and are responsible for compliance with any and all local laws, if and to the extent local laws are applicable.
